Auto Trader Advertising Agreement
Agreement Overview
These terms, the contract details, and our current rate card represent the entire agreement between us and you with respect to your listings made on Auto Trader Media Group Limited (Auto Trader) platform, including but not limited to our website and mobile applications.
In this agreement, the following highlighted words have the corresponding meaning: Advertisement or Listing means the advertising material uploaded by you to run on the website; We, us and our means Auto Trader Media Group Limited; You and your means the person placing the Advertisement, including, where applicable, any advertising agent.
Term and Termination
The term of the agreement begins on the start date and continues for an initial term of three (3) months (Initial Term). Entry into the Partnership Programme will increase the initial term to the agreed upon number of months as below.
At the expiry of the Initial Term, the agreement will automatically renew on a month-by-month basis until terminated by either party on one (1) month’s written notice.
Auto Trader may immediately suspend or terminate this agreement by written notice if: (i) any payment remains overdue for more than 14 days; (ii) your motor vehicle trader registration expires, is suspended or cancelled; (iii) you become insolvent, enter liquidation, receivership or any arrangement with creditors; or (iv) Auto Trader reasonably believes that continuing publication may expose it to legal, regulatory or reputational risk.
Upon suspension or termination, Auto Trader may remove or disable Listings and cease publication immediately.
We offer an optional Partnership Plan that provides additional benefits for advertisers who commit to an extended fixed-term plan:
- 6 Month Partnership Plan: 10% discount for the first 6 months
- 12 Month Partnership Plan: 20% discount for the first 12 months
By opting into a Partnership Plan, you agree to commit to the full term of the selected plan. If you terminate before expiry of the selected Partnership Plan, you agree to pay a reasonable early termination charge, being 50% of the remaining discounted monthly fees for the unexpired portion of the term, which the parties agree is reasonable having regard to the discounts and benefits provided under the Partnership Plan and Auto Trader’s legitimate commercial interests. Discounts are applied on a monthly invoicing basis, and all standard payment terms and invoicing deadlines as outlined in this agreement apply.
Charges and Payment
You agree to pay Auto Trader the agreed upon rate plus applicable taxes as set out in your signed agreement and our current rate card. Auto Trader’s initial charging structure for our services will be communicated to you before the agreement is signed. We are committed to providing you with upfront information about our charges before you proceed to order or use any of our services. We reserve the right to change our charges from time to time. Any changes will take effect no earlier than one (1) month after notice is given to you. If you do not agree to the changes, you may terminate this agreement on written notice prior to the changes taking effect.
Invoices are raised on a monthly basis with the default payment terms being due on the 1st of the following month. Any concerns or disputes should be raised with Auto Trader prior to the due date of your invoice.
All charges and invoices raised by Auto Trader are exclusive of goods and services tax (GST) which will be added to invoices where applicable.
Late Payment
Auto Trader may suspend or terminate access to services or remove Listings until overdue amounts are paid. We further reserve the right to utilise third party debt collection agents (such as Baycorp) to recover funds if we deem it necessary or prudent to do so.
Any reasonable costs incurred by Auto Trader in the recovery of your debt, including the fees charged by debt collection agents will be recoverable from you.
Warranties
You warrant that the information set out on the Dealer Confirmation Form page of this agreement is correct, and that the person signing this agreement has authority to do so. You warrant to us that each Advertisement from time to time: (i) complies with all applicable laws, statutes, regulations, codes of practice; (ii) complies with our standards and requirements as notified to you from time to time; (iii) does not infringe privacy, copyright, trademark or other legal rights of any person; (iv) is not false or misleading and is true in substance and in fact; (v) without limiting the above, does not infringe the Fair Trading Act 1986 (NZ); and (vi) does not contain anything which may give rise to any cause of action by a third party, including without limitation, any material which is defamatory or obscene or which otherwise causes injury or damage to any person.
You warrant that you are a registered motor vehicle trader under the Motor Vehicle Sales Act 2003, that your registration is current and not subject to suspension or cancellation, that such registration will be maintained in good standing throughout the term of this agreement, and that you will notify us within 5 business days of any change to your registration status.
You warrant that each Listing you will upload accurately discloses all information required to be disclosed under the Motor Vehicle Sales Act 2003, the Consumer Guarantees Act 1993, the Fair Trading Act 1986, and the Consumer Information Standards (Used Motor Vehicles) Regulations 2008, including but not limited to odometer reading, year of manufacture, prior use (e.g. ex-rental, ex-taxi, ex-lease), import status, and any security interest registered on the PPSR. You further warrant that you have lawful authority to sell each vehicle listed and that the vehicle is not subject to any undisclosed security interest, lien, or competing ownership claim.
You warrant that you (including your officers, employees, parent company, major shareholders and subsidiaries) are not an organised crime group, a member of an organised crime group, a related company or association of an organised crime member or related with such organised crime group.
Warranties Excluded
Except for the express terms, warranties and representations set out in this agreement, all warranties, representations or conditions relating to this agreement, however arising, are expressly excluded to the fullest extent permitted by law. The parties agree that the services are acquired and supplied in trade and for business purposes and that, to the maximum extent permitted by law, the Consumer Guarantees Act 1993 does not apply.
The parties agree they are each in trade and are entering into this agreement for business purposes and, pursuant to section 5D of the Fair Trading Act 1986, contract out of sections 9, 12A, 13 and 14(1) of that Act to the extent permitted by law.
Vehicle Listings
You confirm that you have the right to use all the information contained in the Advertisement and that you own the intellectual property in the Advertisement. You agree that Auto Trader owns all rights, title and interest in any intellectual property relating to any material published or created by Auto Trader. You grant Auto Trader a non-exclusive, royalty-free, worldwide licence to host, reproduce, display, distribute, and sub-license your Advertisement content (including photographs, videos, and descriptions) for the purposes of operating, marketing, and promoting the Auto Trader platform and your Listings, including via syndication to third-party search engines and partner sites.
Indemnity
You indemnify us, our employees, agents and affiliates, and their employees and agents against all actions, claims, losses, liabilities, damages, costs and expenses (including legal costs on a solicitor-client basis) arising from any Listing, your breach of this agreement, infringement of third-party rights, or breach of law.
Liability
To the maximum extent permitted by law, Auto Trader excludes all liability for indirect, consequential, incidental or special loss, including loss of profits, revenue, goodwill, anticipated savings or loss of opportunity. Auto Trader’s aggregate liability arising out of or in connection with this agreement will not exceed the total fees paid by you during the three months preceding the event giving rise to the claim. Auto Trader is not liable for interruption of service, internet failures, search engine indexing issues, third-party system failures, or unauthorised access. We have no liability to you or any third party for any costs, claims, losses and expenses made against you or incurred by you resulting from any errors including, without limitation, any incorrect text, photographs, graphics or other incorrect appearance in a Listing.
Auto Trader may at its sole discretion edit, refuse, suspend, or remove any Listing that we reasonably believe breaches this agreement, our content standards, or any applicable law, without liability to you.
